Data rooms for Series C and later growth rounds.
A Series C or later data room looks more like a pre-IPO or M&A room: audited financials, segment and geographic reporting, detailed customer and contract data, compliance programs and a full governance record. Growth equity and crossover investors run long request lists and often hire accountants and commercial advisers.

How it works for a startup.
Later rounds bring new types of investors: growth equity funds, crossover funds that also buy public stocks, sovereign and pension investors, and sometimes strategic corporates. Many of them diligence a company the way they would a public stock, with financial models built from raw data and questions about how the business would look under public reporting.
The company is also bigger. There may be subsidiaries abroad, debt facilities, several classes of preferred stock with different preferences, and earlier secondary sales. Each of these needs its own folder and a clean explanation, because a growth investor prices the round against the preference stack.
Rounds at this stage sometimes include a secondary component for early employees and investors. Keep the primary and secondary documents in separate areas with separate access lists.

- Investor Q&A
- Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.
- Viewer activity log
- Shows which investor opened which file, for how long and when, and exports the record.
- View-only and download control
- Set each file to view only, print or download, and change it later without resending anything.
- In-app redaction
- Blacks out salaries, customer names or personal data inside the platform without keeping a second copy.
- Single sign-on
- Your team signs in with Google Workspace, Microsoft Entra ID or Okta instead of another password.
Set up the room in 5 steps.
- 1
Write a process letter
Set out dates for first-round interest, management meetings and final terms. Growth funds expect a process, even a short one.
- 2
Model the waterfall
Upload a spreadsheet that shows what each class receives at several exit values. It answers the first question crossover funds ask.
- 3
Open workstreams
Split Q&A into finance, legal, tax, commercial and technology, each with an owner on your side who approves answers.
- 4
Require two-factor and watermarks
Readers now include many advisers. Turn on two-factor sign-in, view-only for sensitive folders and watermarks with name and time.
- 5
Keep the secondary separate
Selling holders and buyers of secondary shares see only their documents, not the primary diligence.
Common mistakes.
- Leaving the preference waterfall for investors to build themselves, with errors.
- Debt covenants or compliance certificates missing from the room.
- Mixing secondary buyer questions into the primary investor Q&A.
- Sales tax nexus never reviewed after the company started selling in many states.
