Preparing a startup for its annual audit.
An audit data room holds everything the auditor asks for on the PBC (prepared by client) list: trial balance, reconciliations, revenue contracts and invoices, equity and stock compensation records, leases and debt agreements. Organise it by the auditor's list, answer requests in the room and keep each year as a separate archive.

How it works for a startup.
Startups usually face their first audit when an investor or lender requires it, often around Series B, when venture debt arrives, or ahead of an acquisition or IPO. The auditor is a CPA firm working under AICPA standards for private companies, or PCAOB standards for public companies.
The first audit is the hardest because the auditor also tests opening balances. Common areas: revenue recognition under ASC 606, especially multi-year or usage contracts; stock-based compensation under ASC 718 and the 409A reports behind it; leases under ASC 842; capitalised software; and accruals for bonuses and commissions.
Auditors send a request list with dozens or hundreds of items and then sample transactions, asking for invoices, contracts and bank evidence for each. A room that mirrors the list, with a status per item, keeps the finance team and the audit staff working from the same picture.

- Bulk folder upload
- Drag a whole folder tree in at once and keep its numbering.
- Investor Q&A
- Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.
- Viewer activity log
- Shows which investor opened which file, for how long and when, and exports the record.
- AI assistance
- Vendor-listed help such as auto-filing, document summaries, search across files or drafted answers.
Set up the room in 6 steps.
- 1
Get the PBC list early
Ask the auditor for the request list before fieldwork starts and load it into the room as a tracker.
- 2
Write accounting memos
Document your positions on revenue recognition, stock comp and capitalised software in short memos before the auditor asks.
- 3
Upload support in bulk
Export contracts, invoices and bank statements in bulk and file them by the request list numbering.
- 4
Answer samples in the room
When the auditor sends sample selections, answer each in the Q&A with the supporting files linked.
- 5
Give the auditor its own group
Audit staff get access to the audit folders only, not board packs or fundraising material.
- 6
Archive each year
Close the year folder after the opinion is issued and start a fresh one, keeping prior years for reference.
Common mistakes.
- Starting the first audit without having reviewed opening balances.
- Stock comp calculated from a cap table that does not match the option ledger.
- Revenue contracts that cannot be found for sampled customers.
- Board minutes missing approvals the auditor needs to see.
