Startup sectors

Data rooms for healthtech startups.

Healthtech investors check HIPAA compliance and business associate agreements, contracts with payers, providers and employers, state licensing for any care delivered, clinical and cost outcomes, and whether the software is a regulated medical device. Keep patient data out of the room and share de-identified outcome data and compliance evidence instead.

How it works for a startup.

Healthtech covers digital health apps, virtual care, care coordination, revenue cycle software and clinical decision tools. Each model brings its own diligence: telehealth companies face state licensure and corporate practice of medicine rules, software sold to hospitals faces security review, and tools that analyse patient data can fall under FDA rules for software as a medical device.

Revenue in healthcare is often tied to contracts with long cycles: health plans, health systems, employers and pharmacy benefit managers. Reviewers read those contracts for pricing, performance guarantees, data rights and termination, and they look for evidence that outcomes promised in sales materials were actually measured.

Fraud and abuse laws, such as the Anti-Kickback Statute, can apply to how healthtech companies pay for referrals or partner with providers. Counsel will review arrangements with clinicians and referral sources.

Set up the room in 6 steps.

  1. 1

    Keep PHI out

Never upload protected health information to a diligence room. Use de-identified or aggregated data.

  2. 2

    Collect every BAA

List customers and vendors that handle PHI and file the signed BAA for each.

  3. 3

    Map licensing

Show where you deliver care, which entities and clinicians hold licences and how the corporate structure fits state rules.

  4. 4

    Back outcomes with method

For each outcome claim, share the study design, data source and results.

  5. 5

    Document FDA status

Write down why the software is or is not a regulated device, reviewed by regulatory counsel.

  6. 6

    Restrict and log access

Use two-factor login, watermarks and a full audit trail for compliance and contract folders.

Common mistakes.

  • Sample patient records uploaded to show the product.
  • Vendors handling PHI without signed BAAs.
  • Outcome claims in sales decks with no study behind them.
  • No written view on whether the software is a medical device.

Questions founders ask

Can I put patient data in a data room?
Avoid it. Diligence rarely needs identifiable patient data, and sharing it creates HIPAA risk. Use de-identified or aggregated data.
What is a BAA?
A business associate agreement, required under HIPAA when a vendor handles protected health information for a covered entity. Reviewers expect one for each such relationship.
Is health software regulated by the FDA?
Some is. It depends on the intended use and what the software does with data. Regulatory counsel can assess it against FDA guidance.
