Data room for a pre-IPO round.
A pre-IPO data room is built to the standard of a listing: audited financials under PCAOB-ready audits, quarterly reporting, internal controls, board committees, a full legal and tax record and a credible IPO timeline. Crossover investors in this round are pricing the company against its likely public valuation.

How it works for a startup.
Pre-IPO rounds are usually the last private financing before a listing, often one to two years ahead. Investors include crossover funds, hedge funds, late-stage growth funds and sometimes strategic investors. Many will later buy in the IPO, so they test whether the company can meet public company standards.
Diligence questions mirror an underwriter's: revenue recognition, key metrics and how they are defined, controls over financial reporting, board independence, executive compensation, litigation and regulatory exposure. Investors also negotiate IPO-related terms such as ratchets that protect them if the IPO price is below the round price.
Building this room well saves time later. The structure can be reused for underwriter diligence, auditors and the registration statement process, so it is worth using an IPO-style index from the start.

- View-only and download control
- Set each file to view only, print or download, and change it later without resending anything.
- Viewer activity log
- Shows which investor opened which file, for how long and when, and exports the record.
- Investor Q&A
- Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.
- Single sign-on
- Your team signs in with Google Workspace, Microsoft Entra ID or Okta instead of another password.
- In-app redaction
- Blacks out salaries, customer names or personal data inside the platform without keeping a second copy.
Set up the room in 5 steps.
- 1
Use an IPO-style index
Organise the room the way underwriters' counsel will ask for it, so it can carry into the listing.
- 2
Reconcile metrics to the financials
Every key metric should tie back to audited numbers with a written definition. Crossover analysts check this closely.
- 3
Show control gaps honestly
List known weaknesses and the remediation plan. Hiding them causes bigger problems in the S-1 process.
- 4
Treat data as price sensitive
View-only by default, watermarks, two-factor sign-in and named users only.
- 5
Model IPO terms
Show the effect of any IPO ratchet across a range of offering prices.
Common mistakes.
- Metrics in the deck with no reconciliation to audited figures.
- Agreeing to an IPO ratchet without modelling its dilution at lower offering prices.
- Leaving board committees and independence questions until the S-1 is being drafted.
