Startup sectors

Data rooms for SaaS startups.

Investors and buyers judge a SaaS company on recurring revenue they can rebuild themselves. Put customer-level billing data, an ARR bridge, retention cohorts, top customer contracts, security evidence and a page of metric definitions in the room, and make sure every number in the deck ties back to those files.

How it works for a startup.

SaaS diligence is metric-heavy. A reviewer takes the billing export, rebuilds ARR month by month, and compares new, expansion, contraction and churn with your own bridge. Net and gross revenue retention, logo churn, CAC payback and gross margin follow. If their numbers differ from yours, the conversation turns to definitions and trust.

Contracts matter as much as metrics. Reviewers read the largest customer agreements for term, renewal, termination for convenience, price caps, most favoured customer clauses and assignment on change of control. Acquirers also look at the product's hosting costs, security posture and how much of the revenue depends on services rather than software.

Most SaaS rooms open in stages: metrics and anonymised data first, named contracts and security reports after a term sheet or letter of intent, and source code access only in an acquisition, if at all.

Investor Q&A
Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.
Dynamic watermarks
Stamps the viewer email and the time across every page, so a forwarded screenshot points back to its source.
Viewer activity log
Shows which investor opened which file, for how long and when, and exports the record.

Set up the room in 6 steps.

  1. 1

    Export from billing, not slides

Pull subscription or invoice data by customer and month directly from the billing system.

  2. 2

    Write metric definitions

One page on how you count ARR, churn, expansion and CAC. Note any changes in method over time.

  3. 3

Tie the deck to the data

Check that every metric in the pitch deck can be rebuilt from the files in the room.

  4. 4

    List non-standard terms

Summarise contracts with termination for convenience, price caps, MFN or assignment limits.

  5. 5

    Stage the sensitive folders

Hold named contracts and security reports for a later access group after a term sheet.

  6. 6

    Watch what investors read

Use view analytics to see which metrics files get the most attention and prepare for those questions.

Common mistakes.

  • Counting signed but not yet live contracts as ARR without saying so.
  • Services revenue mixed into recurring revenue.
  • Cohort charts that cannot be rebuilt from the billing export.
  • Large customers with termination for convenience that were never disclosed.

Questions founders ask

What SaaS metrics do investors check first?
ARR and its growth, net revenue retention, gross margin and burn. Many also look at CAC payback and logo churn by segment.
Should I share customer names?
Not in the first pass. Share anonymised customer-level data first and named contracts after a term sheet, within your confidentiality obligations.
Do SaaS investors look at code?
Venture investors rarely do. Acquirers often run a technical review that can include a code scan.
