Startup sectors

Data rooms for proptech startups.

Proptech startups touch regulated real estate activity, so investors ask which licences the business needs, where its property data comes from and under what terms, and how it complies with RESPA and fair housing rules. Prepare licence records, data licence agreements, compliance policies, partner contracts and unit economics by market.

How it works for a startup.

Proptech covers software for landlords and agents, transaction platforms, rental and home services, mortgage and title technology and building operations. Some of these act as brokers, lenders or title agents and need state licences; others are pure software. Reviewers start by checking the business model against the licensing it holds.

Property data drives many products. MLS feeds, public records and third-party data come with licence terms that limit use and redistribution, and a buyer will check whether the product stays within them.

Compliance questions include RESPA rules on referral fees in settlement services, fair housing rules on advertising and screening, and tenant screening and consumer reporting rules. Models that rely on referral payments get particular attention.

  • Using MLS data outside the terms of the feed agreement.
  • Referral payments that may breach RESPA.
  • Balance sheet risk from holding homes or loans not shown clearly.

Questions founders ask

What is RESPA?
The Real Estate Settlement Procedures Act, which among other things limits kickbacks and referral fees between settlement service providers in mortgage transactions.
Can a proptech startup use MLS data freely?
No. MLS data is licensed with rules on use and display. Reviewers check that the product follows the terms.
Do proptech companies need real estate licences?
Those that act as brokers, lenders, property managers or title agents usually do. Pure software companies often do not.
