Data room for a startup joint venture.
A joint venture data room shows what each party contributes and on what terms: IP licensed or assigned to the venture, cash and staff, governance, deadlock and exit rights. The startup should share only what the venture needs, with view-only access and watermarks, and keep its core IP outside the JV unless that is the deal.

How it works for a startup.
Startups form joint ventures with larger companies to enter a new market, build a combined product or access manufacturing or distribution. The JV may be a new company owned by both or a contractual arrangement. Either way, each party brings assets and expects a share of the result.
For the startup, the main risks are IP and control. If core technology moves into the JV, the startup may lose control of it if the JV fails or the partner gains a deadlock advantage. Counsel usually recommends licensing rather than assigning core IP, with clear rules for improvements made inside the venture.
The larger partner will run diligence on the startup much like an investor, often through its corporate development or legal team. The startup should run its own diligence on the partner: its commitment, its competing activities and its record with similar ventures.

- View-only and download control
- Set each file to view only, print or download, and change it later without resending anything.
- Dynamic watermarks
- Stamps the viewer email and the time across every page, so a forwarded screenshot points back to its source.
- Viewer activity log
- Shows which investor opened which file, for how long and when, and exports the record.
- Investor Q&A
- Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.
- In-app redaction
- Blacks out salaries, customer names or personal data inside the platform without keeping a second copy.
Set up the room in 5 steps.
- 1
Define the JV scope tightly
Write down what the venture does and what it does not, so IP and non-compete terms have a clear boundary.
- 2
License, do not assign, core IP
Unless the deal is built around it, license background IP to the JV with clear field and term limits.
- 3
Schedule background IP
List each party's existing IP before the JV starts so later ownership questions have an answer.
- 4
Plan the exit
Agree how the JV ends and who keeps what before signing.
- 5
Restrict sensitive files
Keep source code and roadmaps view-only with watermarks, opened to named partner staff.
Common mistakes.
- Assigning core IP to a JV that later deadlocks.
- No schedule of background IP, causing disputes over improvements.
- Skipping diligence on the larger partner's competing activities.
