Exits and deals

Data room for a startup partnership deal.

A partnership data room gives a larger partner what its procurement, legal, security and business teams need to sign a distribution, reseller, integration or co-development agreement: company and financial basics, security evidence, product and roadmap summaries, and the draft contract. Share technical and pricing detail only as far as the deal requires.

How it works for a startup.

Partnerships with larger companies can bring revenue and distribution faster than direct sales. They also bring diligence: the partner checks that the startup is financially stable, secure, compliant and able to support customers, because the partner's brand is attached to the result.

Expect a vendor or partner onboarding questionnaire, a security review, often a request for SOC 2 or similar evidence, and questions about financial runway. Legal teams review IP, indemnities, data processing terms and exclusivity requests. Business teams want product plans and pricing.

Exclusivity and most favoured pricing requests deserve care, because they can limit future deals and appear in later investor or acquirer diligence. Keep the negotiated terms and a summary of any restrictions in the room for your own board and future buyers.

Investor Q&A
Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.
View-only and download control
Set each file to view only, print or download, and change it later without resending anything.

Set up the room in 5 steps.

  1. 1

    Prepare a standard security pack

Keep current security reports and a completed standard questionnaire ready to share.

  2. 2

Give each partner team its own group

Security, legal and business reviewers see the files they need, not everything.

  3. 3

    Summarise the roadmap

Share direction and timing at summary level; keep detailed plans out unless co-development requires them.

  4. 4

    Review restrictive terms

Flag exclusivity, most favoured pricing and non-solicit clauses for board review.

  5. 5

    File the signed deal

Keep the final agreement and a restrictions summary in the room for future investors and buyers.

Common mistakes.

  • Agreeing broad exclusivity for a modest partnership.
  • Sending security documents by email with no record of who holds them.
  • Sharing a detailed roadmap with a partner that also builds competing products.

Questions founders ask

What does a large partner check before signing with a startup?
Financial stability, security and compliance evidence, product fit, support capacity, insurance and the legal terms on IP, data and liability.
Should a startup accept exclusivity in a partnership?
Only with clear limits on field, territory and time, and ideally performance conditions. Exclusivity often comes up in later investor and acquirer diligence.
Do I need a data room for a partnership?
For larger partners with several review teams, yes. It keeps security and legal files controlled and gives you a record for future diligence.
