Startup sectors

Data rooms for marketplace startups.

Marketplace investors look at both sides of the market: how many buyers and sellers stay, how often transactions match, and how much of the value the platform keeps. Prepare transaction-level data, cohorts for each side, take rate history, payment flow documents, contractor classification analysis and trust and safety records.

How it works for a startup.

A reviewer will want GMV, net revenue and take rate by month and category, then retention and frequency by cohort on each side. Liquidity measures, such as the share of listings that sell or the share of requests that get filled, show whether the market works or is propped up by spending.

Legal questions depend on the model. Service marketplaces face worker classification rules, which vary by state. Payment flows can raise money transmission questions unless funds move through a licensed processor with the right structure. Platforms that host user content face moderation and liability questions.

Incentives and subsidies matter: discounts, guarantees and referral credits can make growth look better than organic demand. Reviewers ask for spend by type and cohort so they can strip it out.

Set up the room in 6 steps.

  1. 1

    Share transaction-level data

Export anonymised transactions so reviewers can build their own GMV, take rate and cohort views.

  2. 2

    Separate the two sides

Show cohorts and concentration for supply and demand separately.

  3. 3

    Disclose incentives

Report subsidy spend by type so reviewers can see organic demand.

  4. 4

    Draw the funds flow

A diagram of how money moves from buyer to seller, through which entities and processor.

  5. 5

    Review classification

Get counsel's view on provider status in your main states and file it.

  6. 6

    Answer in Q&A

Metric definition questions will repeat; answer once and point later reviewers to the answer.

Common mistakes.

  • GMV and net revenue mixed in the same chart.
  • Growth driven by subsidies with no disclosure of their cost.
  • Funds flows that hold customer money without a licensed structure.
  • Supply concentrated in a few sellers who could leave.

Questions founders ask

What is take rate?
The share of GMV the marketplace keeps as revenue. Investors compare it across categories and over time.
What is marketplace liquidity?
How reliably buyers and sellers find a match, often measured as the share of listings that sell or requests that get filled.
Why does worker classification matter?
If providers are found to be employees under state law, the platform can owe back taxes, benefits and penalties.
