Startup sectors

Data rooms for hardware startups.

Hardware investors look past the prototype to whether the product can be built at the target cost, certified and supported. Prepare the bill of materials with cost per unit at each volume, contract manufacturer and supplier agreements, certification records, inventory and working capital data, warranty and return rates, and the product roadmap.

How it works for a startup.

Hardware diligence is part engineering review, part supply chain audit. Reviewers check the BOM against quotes, single-source components, tooling ownership and the contract manufacturer's terms on pricing, quality and liability. Tariffs and component lead times have become standard questions.

Products sold in the US usually need FCC equipment authorization if they emit radio frequency energy, and many need safety certification from a nationally recognised testing lab for retail and enterprise buyers. Reviewers want the reports and any open issues before launch.

Cash ties up in inventory and deposits long before revenue, so investors read working capital closely. Return rates, warranty claims and field failure data show whether margins will hold after launch.

Investor Q&A
Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.

Set up the room in 6 steps.

  1. 1

    Cost the BOM at volume

Show unit cost at the volumes in your plan, backed by quotes, and note the assumptions.

  2. 2

    Confirm tooling ownership

Make sure contracts say the company owns the tooling it paid for and can move it.

  3. 3

    List single-source parts

Name each single-source component and the backup plan.

  4. 4

    Collect certification reports

File FCC and safety reports with any conditions or open items.

  5. 5

    Share design files carefully

Upload CAD and schematics only if needed, view-only with watermarks, or offer a summary instead.

  6. 6

    Show field quality

Share return and warranty data by product revision so reviewers see quality improving.

Common mistakes.

  • BOM costs based on prototype quantities.
  • Tooling held by the manufacturer with no transfer rights.
  • Launching retail without required certification.
  • Inventory commitments that outrun demand forecasts.

Questions founders ask

Do all electronics need FCC approval?
Most devices that emit radio frequency energy need some form of FCC equipment authorization before sale in the US. The exact process depends on the device.
What is tooling ownership?
Who owns the molds and fixtures used to make the product. Startups usually pay for tooling and should own it, so they can move production if needed.
What do hardware investors worry about most?
Unit economics at volume, supply chain risk, certification timing and working capital tied up in inventory.
