Data rooms for venture studio companies.
Companies built inside a venture studio face investor questions about how much the studio owns, what it still provides and charges for, whether all IP moved cleanly from the studio to the company and whether the founding team has enough equity. Prepare the studio agreements, IP assignments, services terms and a cap table that makes the studio's position clear.

How it works for a startup.
Venture studios create companies with their own capital and staff, then recruit or appoint founders. The studio usually keeps a significant equity stake and may provide shared services, such as engineering, design, finance or recruiting, under a services agreement for a period after the spinout.
External investors look at whether the studio's stake leaves enough equity for the founders and future hires, what the studio controls through board seats or protective provisions, and whether services fees and terms are fair. Some investors have specific views on studio ownership, so being clear early saves time.
IP is the other focus. Code, designs, research and brand work done by studio staff must be assigned to the company. Shared tools or platforms the studio uses across companies may be licensed instead, and reviewers check those terms.

- Investor Q&A
- Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.
- Viewer activity log
- Shows which investor opened which file, for how long and when, and exports the record.
- Dynamic watermarks
- Stamps the viewer email and the time across every page, so a forwarded screenshot points back to its source.
- NDA e-signing
- Investors sign the NDA or click-through terms before the room opens.
Set up the room in 6 steps.
- 1
Show the cap table plainly
Present studio, founder, pool and investor holdings with any studio rights in plain terms.
- 2
Paper the IP transfer
Confirm assignments from the studio and every studio staff member who worked on the company.
- 3
Set a services end date
Document what the studio provides, what it costs and when the company takes it in-house.
- 4
List related-party deals
Disclose all transactions with the studio and its portfolio companies.
- 5
Address founder equity
Show how founders' equity and vesting compare with what investors expect, and any planned top-ups.
- 6
Sign approvals in the room
Use e-signature for studio and board consents and file them centrally.
Common mistakes.
- Studio staff work never assigned to the company.
- Open-ended services agreements with no exit terms.
- Founder equity too small for outside investors' comfort, with no plan to address it.
- Related-party transactions not disclosed.
