Data rooms for university spinouts.

A university spinout is reviewed first on its licence with the tech transfer office: what it covers, what it costs and what the university can take back. Investors also check university equity and anti-dilution terms, federal rights under the Bayh-Dole Act, sponsored research agreements and the founders' university roles and conflict of interest approvals.

How it works for a startup.

Spinouts usually license patents from the university under an exclusive licence with a defined field of use. The licence often includes an upfront fee, equity for the university, patent cost reimbursement, milestone payments, royalties, sublicence income sharing and diligence obligations that let the university terminate if milestones are missed.

When the research was federally funded, the Bayh-Dole Act gives the government a non-exclusive licence and certain march-in rights, and exclusive licensees must generally manufacture products for US sale substantially in the US unless a waiver is granted. Investors want invention reports and funding records.

Founders who remain faculty need approvals under university conflict of interest and outside activity policies, and their roles can limit how much time they give the company. Sponsored research agreements that continue the lab work should say who owns new inventions.

  4. 4

    Clarify founder roles

File conflict of interest approvals and describe each founder's time commitment.

  5. 5

    Fix new invention ownership

Make sure sponsored research terms give the company rights to improvements.

  6. 6

    Watch publication plans

Coordinate lab publications with patent filings, and note planned papers in the room.

Common mistakes.

  • A licence field too narrow for the product the company now plans.
  • Licence milestones the company cannot meet on its funding plan.
  • University anti-dilution terms that surprise new investors.
  • Faculty founders with no approved conflict of interest plan.

Questions founders ask

What is a tech transfer office?
The university office that manages patents and licenses inventions from university research to companies, including spinouts.
Why does the university take equity?
Equity is a common part of spinout licences, sometimes alongside royalties. Investors check its size and any anti-dilution protection.
What does Bayh-Dole mean for a spinout?
If federal funds supported the research, the government keeps a licence and certain rights, and US manufacturing preferences can apply to exclusive licensees.
