Data rooms for devtools and open source startups.
Devtools and open source companies are reviewed on adoption, on how free users turn into paying customers and on whether the company controls the project's licence and name. Prepare licence history, contributor agreements, trademark records, usage and download data, conversion funnels and commercial contracts.

How it works for a startup.
Investors in open source companies look at adoption signals such as downloads, active installs, contributors and community size, but they care most about conversion: how many organisations move from the open project to a paid cloud service or enterprise licence, and why.
Control of the project is a legal question. Reviewers check the licence of each component, whether outside contributors signed a CLA or used a DCO, who owns the project trademark and what governance applies if the project sits in a foundation. Past licence changes and community reaction are part of the record.
Devtools companies also face standard SaaS diligence, plus scrutiny of the boundary between open and paid features. Buyers want to know that the paid product would hold its value if a competitor offered the open project as a service.

- Investor Q&A
- Funds and buyers ask questions against a file; you assign, answer and publish replies, and the thread stays on record.
- Viewer activity log
- Shows which investor opened which file, for how long and when, and exports the record.
- Open API
- Lets your engineers create rooms, add users or pull activity into your own tools.
- Dynamic watermarks
- Stamps the viewer email and the time across every page, so a forwarded screenshot points back to its source.
Set up the room in 6 steps.
- 1
Document licence history
List each component's licence and any changes, with dates and reasons.
- 2
Check contributor terms
Confirm CLA or DCO coverage for outside contributions to core code.
- 3
Register the name
Make sure the company holds the project trademark and has a usage policy.
- 4
Measure conversion
Show how open users become customers, with the data behind each step.
- 5
Explain the open and paid split
Describe which features are paid and why that holds value against hosted competitors.
- 6
Link telemetry policy
If adoption data comes from telemetry, include the policy and consent approach.
Common mistakes.
- No CLA or DCO on a project with many outside contributors.
- Project trademark held by a founder or not registered.
- Downloads presented as users without explaining how they are counted.
- Telemetry collected without a clear policy.
